By accessing or using Estada Services ("Estada", "we", "our", or "us"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, then you may not access the Service. These Terms apply to all visitors, users, and others who access or use the Service.
2. Description of Service
Estada is a platform own by Estada Limited. Estada is a real estate platform that connects property buyers, sellers, renters, and real estate agents in Nigeria. Our services include property listings, agent verification, transaction facilitation, and related real estate services. We operate as an intermediary platform and do not directly own, sell, or rent properties unless specifically stated.
3. User Eligibility
You must be at least 18 years old to use our services. By using Estada, you represent and warrant that you have the legal capacity to enter into these Terms. If you are using our services on behalf of a company or organization, you represent that you have the authority to bind such entity to these Terms.
4. User Accounts
Account Registration
You may need to create an account to access certain features. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
Account Information
You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.
Account Security
You are responsible for safeguarding the password and for all activities under your account. You must notify us immediately of any unauthorized use of your account.
5. Real Estate Agent Terms
Agent Verification
All real estate agents must provide valid licensing information and undergo our verification process. We reserve the right to verify credentials and reject applications that do not meet our standards.
Professional Conduct
Agents must maintain professional standards, provide accurate property information, respond promptly to inquiries, and comply with all applicable real estate laws and regulations.
Commission and Fees
Agent commission rates and platform fees are as specified in separate agreements. We may charge transaction fees for successful deals facilitated through our platform.
Listing Standards
All property listings must be accurate, current, and legally compliant. Agents are responsible for verifying property ownership and legal status before listing.
6. User Conduct and Prohibited Uses
You agree not to use the Service to:
- Violate any applicable laws or regulations
- Post false, misleading, or fraudulent property information
- Harass, abuse, or harm other users
- Impersonate any person or entity
- Distribute spam, malware, or other harmful content
- Attempt to gain unauthorized access to our systems
- Use automated systems to scrape or harvest data
- Interfere with the proper functioning of the Service
- Engage in any form of discrimination based on race, religion, gender, or other protected characteristics
7. Property Listings and Content
Content Accuracy
Users posting property listings warrant that all information provided is accurate, current, and not misleading. This includes property descriptions, prices, availability, and legal status.
Content Ownership
You retain ownership of content you submit but grant Estada a non-exclusive, worldwide, royalty-free license to use, display, and distribute such content in connection with the Service.
Content Removal
We reserve the right to remove or modify any content that violates these Terms or is otherwise objectionable, without prior notice.
8. Payments and Transactions
Transaction Facilitation
Estada may facilitate payments between parties but is not a party to the underlying transaction. All property transactions are between buyers and sellers/landlords.
Platform Fees
We may charge fees for certain services as disclosed at the time of transaction. All fees are non-refundable unless otherwise specified.
Third-Party Payment Processors
We use third-party payment processors and are not responsible for their actions or failures. Users must comply with payment processor terms.
9. Privacy and Data Protection
Your privacy is important to us. Our Privacy Policy, which is incorporated into these Terms by reference, explains how we collect, use, and protect your information. By using our Service, you consent to the collection and use of information in accordance with our Privacy Policy.
10. Intellectual Property Rights

The Service and its original content, features, and functionality are and will remain the exclusive property of Estada and its licensors. The Service is protected by copyright, trademark, and other laws.
User Content
Users retain rights to their original content but may not use our platform to infringe upon the intellectual property rights of others.

11. Disclaimers and Limitation of Liability

Property Information
We do not verify all property information and make no warranties about the accuracy, completeness, or reliability of listings posted by users.
Limitation of Liability
To the maximum extent permitted by law, Estada shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of the Service.
Maximum Liability
Our total liability to you for any claims arising from these Terms or your use of the Service shall not exceed the amount paid by you to Estada in the twelve months preceding the claim.
12. Indemnification
You agree to defend, indemnify, and hold harmless Estada and its affiliates, officers, directors, employees, and agents from any and all claims, damages, obligations, losses, liabilities, costs, or debt arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content you post on the Service.
13. Termination
Termination by You
You may terminate your account at any time by contacting us or using account deletion features where available.
Termination by Us
We may terminate or suspend your account and access to the Service immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users or us.
Effect of Termination
Upon termination, your right to use the Service will cease immediately. All provisions that by their nature should survive termination shall survive.
14. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Nigeria, specifically the courts of Lagos State or the Federal Capital Territory, Abuja.
15. Dispute Resolution
Mediation
Before initiating legal proceedings, parties agree to attempt resolution through mediation conducted by a mutually agreed mediator in Lagos or Abuja.
Arbitration
If mediation fails, disputes shall be resolved through binding arbitration under the Arbitration and Conciliation Act of Nigeria.
Class Action Waiver
You agree that any arbitration or legal proceeding shall be conducted only on an individual basis and not in a class, consolidated, or representative action.
16. Modifications to Terms
We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through the Service. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms. We recommend reviewing these Terms periodically.
17. Severability
If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, such provision shall be struck from these Terms and the remaining provisions shall remain in full force and effect.
18. Entire Agreement
These Terms, together with our Privacy Policy and any other legal notices published on the Service, constitute the entire agreement between you and Estada concerning the Service and supersede all prior or contemporaneous communications and proposals.
